How to use it

  • When: the other party to a contract has not done what the contract requires (late or missing delivery, a defect, non-payment, not following an agreed term) and you want to tell them formally, ask them to put it right, and keep a record.
  • Before you send: re-read the contract. Check what it says about notice of breach, the time to put it right and how notices must be sent.
  • Fill in everything in [square brackets] and delete the options you do not use. Quote the contract clause and describe the breach with dates and facts.
  • Do not end the contract in this letter unless you are sure you may; wrongly ending a contract can be a breach by you.
  • Send it by a method you can prove: registered post, courier or e-mail with read receipt, as the contract requires. Keep a copy and the proof.
  • Not for: a simple payment reminder (use the payment demand letter), a consumer complaint (use the refund or complaint letter) or stopping unlawful conduct that is not in a contract (use the cease and desist letter).
