Module 4
Doing business and investing in China: the Foreign Investment Law, company forms, registration, contracts, trade, tax, foreign exchange and debt recovery
China is open to foreign business, but on **terms set by law**. Since **2020** the **Foreign Investment Law** has replaced the old separate laws on joint ventures and wholly foreign-owned enterprises, treating foreign investors broadly like domestic ones, except in a short list of **restricted** fields. The **Company Law** governs the company itself. Around them stand the rules on **registration, contracts, customs, tax and foreign exchange**, and the fact that a foreign investor’s money, goods and profits **cross a controlled border**. This module follows a foreign business from the decision to enter to the recovery of a debt, with the legal **questions to ask** at each step. It states durable rules and not **rates, thresholds or lists**, which change.
This course explains the law of China, not US law. Rules that look the same elsewhere may be different. This covers Mainland China. Hong Kong and Macao have separate legal systems, and Taiwan is outside this collection.

See what is included in the Courses & AI Lab Pass →General education on the law of Mainland China, using invented people and businesses. It states laws and procedures in simplified form and is not legal advice. The law and its practice change, and every case turns on its facts and on the local authority. It does not offer legal representation or a legal opinion on any case. Consult a Chinese-qualified lawyer for any real matter.
