Module 7
Business, employment and tax: the Commercial Act, companies and the Commercial Register, insolvency, the Labour Code, social security, taxes, consumer protection and competition
Business in Bulgaria is governed by the Commercial Act of 1991. The usual forms are the limited liability company (ООД), its single-member version (ЕООД) and the joint-stock company (АД). A company is registered in the Commercial Register kept by the Registry Agency, which is electronic and public, and gets a unique identification code. Foreign investors are treated like Bulgarians in most sectors. Employment is regulated by the Labour Code: written contracts, notification to the tax authority, protection against dismissal and social security contributions. Taxes are administered by the National Revenue Agency and Bulgaria uses low flat-rate income taxes, which are not stated here because rates change. Consumer, competition and public procurement rules follow EU standards. Check the current rules before acting.
This course explains the law of Bulgaria, not US law. Rules that look the same elsewhere may be different.

See what is included in the Courses & AI Lab Pass →General education on the law of Bulgaria, using invented people and businesses. It states laws and procedures in simplified form and is not legal advice. The law and its practice change, and every case turns on its facts and the authority concerned. It does not offer legal representation or a legal opinion on any case. Consult a Bulgarian lawyer for any real matter.
This course was written on 6 November 2026. To the best of our knowledge, it describes the law of Bulgaria as it stood on that date. Laws change, and we may have missed or misunderstood something. If you notice a change, or have other information, please do not hesitate to contact us: we will review it and update the course. We do not claim to be the final source of the law.
